Due diligence Methodology

Note: below is an example of an actual research plan. The research focused on an enterprise in the agribusiness sector.

1. Scope:
    assessment of work patterns with suppliers and distributors; pricing policies; existing problems and envisioned solutions.
2. Methodology.
    2.1 Desk Research - minimal amount (only regional statistics + key regional publications with a 1/2 year historical review)

    2.2 Field Research:

    • interviews with sources providing financial insights;
    • interviews with technical departments;
    • interviews with key raw material suppliers;
    • interviews with main dealers and distributors, as well as other customers and accounts.

3. Interest Focus Points for Client.
    3.1 Financial:

    • operating and production costs;
    • local currency/hard currency issues;
    • pricing policies;
    • land and lease costs.

    3.2 Production:

    • installed capacity;
    • actual output;
    • raw materials pricing;
    • evaluation of key suppliers and supply mechanisms;
    • environmental problems.

    3.3 Trade:

    • sales volume;
    • local sales vs. exports distribution;
    • distribution mechanisms and value chain structure;
    • types and numbers of accounts;
    • policies of working with accounts and customers;
    • terms of delivery, incentive schemes;
    • payment/collection procedures.

    3.4 Strategic:

    • development plans;
    • analysis of growth potential and business expansion;
    • key issues of concern for the management;
    • internal conflict analysis.

    3.5 HR:

    • personnel data & org charts;
    • HR policies;
    • turnover assessment.
