In November 1995, Action Data Group performed a partner evaluation of the private firm XXX, registered and operating in Donetsk. The assessment has been carried out for Client X, within the terms of the contract. The identity of Client X has not been revealed.

The report below summarizes the findings across a range of fundamental and operational parameters.

1. Company Profile

1.1 "ÕÕÕ" Ltd (T.O.O.)

XXX is a Donetsk based limited liability company, specializing in wholesale and retail trade of tobacco, alcohol, food products and consumer goods. The company was founded in 1992 by Alexandr Viktorovich XXX, two other physical persons (unidentified) and the Donetsk Association "Delo Vsekh", and officially registered on March 18, 1993. Registration number XXX in the Company Register of Voroshilovsky District Administration ("Rayispolkom") of Donetsk. The chartered capital is Krb5.4m. OKPO code: XXX. The ownership of XXX is distributed as follows: "Delo Vsekh" - 92% and Mr. XXX plus the other physical persons - 8%. Prior to registration Mr. XXX worked at the "XXX Fashion Theater" together with his wife, who appears to have played an active role in setting up "XXX" T.O.O.. The "fashion theater" does not exist anymore. Prior to starting his business, Mr. XXX worked, according to his own words, in "military-related structures".

Since registering as a firm, "XXX" has expanded to approximately 15 permanent staff members, including bookkeepers, sales personnel, drivers and a construction department.

1.3 Management of the Company

The management of the company is composed of three individuals: Mr. A.A., the chief bookkeeper and A.A.'s deputy and manager of ABC store. They oversee the entire operation. Mr. A.A. does not have a permanent office location and is constantly moving from one office to another (two of which are located in the retail stores). The offices are small - ranging from one room of approx. 25 sq. meters (the largest), where the chief bookkeeper works (ABC store) to 10 sq. meters ("Gastronom ABC") to 7 sq. meters ("Donetsk-Z").

The "office environment" is poor, to say the least. There are no visible signs of any kind of organized activity and most of the current operational requirements are handled personally by Mr. A.A. According to him, the management is allegedly composed of 15 people. Our on-site observations, however, lead us to believe that there are no more than 4 to 5 people directly involved in managing the operation, including the store managers and the head of the construction department. Interaction with the staff (secretary, assisting personnel) is at a "Soviet-style" level, without strictly delimited distribution of tasks and responsibilities. The observed reporting style in the office is rather casual.

MANAGEMENT STRUCTURE OF "ÕÕÕ"

1.4 Employees

Our assessment of "XXX" permanent staff is at approximately 15 people, including the sales persons at the store. The average level of education is technical high-school with a bias towards trade. The additional construction department is said to employ around 30 people. Mr. A.A., however, quoted 89 people and over 30 in the construction division. The overwhelming majority of the personnel has experience in state-controlled trade.
